Terms & Conditions

For the purposes of these Terms, the following definitions apply:

• — "Application" means any mobile or desktop software product developed and published by Minn Studio, including but not limited to Motavi, distributed through the Apple App Store, Google Play Store, or any other official distribution channel.
• — "Minn Studio" (also "we," "us," or "our") means the individual developer or entity operating under the name Minn Studio and responsible for the development and distribution of the Applications.
• — "User" (also "you" or "your") means any individual who downloads, installs, accesses, or otherwise uses an Application.
• — "Subscription" means a paid, recurring license to access premium features within an Application, billed on a periodic basis and managed through RevenueCat and the applicable app store platform.
• — "Content" means any data, text, goals, notes, images, or other information that you create, input, upload, or otherwise submit through an Application.
• — "Services" means all features, functionality, and content made available through the Applications, including any cloud synchronization, notifications, analytics, or subscription-gated features.
• — "RevenueCat" means RevenueCat, Inc., a third-party subscription management platform we use to process in-app purchases and manage subscription entitlements.

2.1 License Grant. Subject to your compliance with these Terms, Minn Studio grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Application on any device you own or control, solely for your personal, non-commercial purposes.

2.2 Age Requirement. You must be at least 13 years of age to use our Applications. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Application and that they have read and agreed to these Terms on your behalf.

2.3 Prohibited Uses. You agree not to:

• (a)Copy, modify, distribute, sell, or lease any part of the Application or its underlying source code;
• (b)Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application, except to the extent permitted by applicable law;
• (c)Use the Application in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with any other party's use of the Application;
• (d)Attempt to gain unauthorized access to any portion of the Application, its related systems, or networks;
• (e)Use the Application for any unlawful purpose or in violation of any local, state, national, or international law or regulation;
• (f)Use automated scripts, bots, or other tools to access or interact with the Application in a manner that is not enabled by Minn Studio;
• (g)Remove, obscure, or alter any copyright, trademark, or other proprietary notices within the Application.

2.4 Your Content. You retain ownership of all Content you create within the Application. By submitting Content, you grant Minn Studio a limited, worldwide, royalty-free license to store, process, and display your Content solely for the purpose of operating and improving the Services. We do not sell your Content to third parties.

2.5 Third-Party Services. The Application may integrate with or link to third-party services (such as Apple Health, RevenueCat, or analytics providers). Your use of any third-party service is governed by that service's own terms and privacy policy. Minn Studio is not responsible for the practices or content of any third-party service.

3.1 Account Creation. Some features of the Application may require you to create an account using a supported authentication method (such as Sign in with Apple or Sign in with Google). You agree to provide accurate, complete, and current information during registration and to keep that information up-to-date.

3.2 One Account Per User. You may only create and maintain one account per person. Creating multiple accounts to circumvent any restrictions or to gain improper access to free trials or promotional offers is prohibited and may result in the termination of all associated accounts.

3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at minndevstd@gmail.com if you suspect any unauthorized use of your account or any other security breach.

3.4 Account Termination. Minn Studio reserves the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, to us, or to third parties, or for any other reason. Upon termination, your license to use the Application ceases immediately.

3.5 Data Upon Termination. If you delete your account, we will delete or anonymize your personal data in accordance with our Privacy Policy. Some anonymized or aggregated data may be retained for analytical or legal purposes.

4.1 Subscription Plans. Minn Studio offers optional paid Subscriptions that unlock premium features within the Application. Available plans, pricing, and features are described within the Application and are subject to change.

4.2 Subscription Management via RevenueCat. Subscription purchases, renewal management, and entitlement verification are handled by RevenueCat, Inc. in conjunction with the Apple App Store or Google Play Store (the "Platform"). By subscribing, you also agree to RevenueCat's terms of service and the applicable Platform's terms. Minn Studio does not directly process payment card data.

4.3 Billing & Renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel at least 24 hours before the renewal date.

4.4 Free Trials. We may offer a free trial period for certain Subscription plans. After the free trial ends, you will automatically be charged unless you cancel before the trial period expires.

4.5 Price Changes. Minn Studio reserves the right to adjust Subscription pricing at any time with reasonable advance notice.

4.6 Cancellation. You may cancel your Subscription at any time through the applicable Platform's settings. Cancellation takes effect at the end of the current billing period.

4.7 Refunds. All purchases are final and non-refundable, except where required by applicable law or expressly permitted by the Platform's own refund policy. Refund requests must be directed to the relevant app store.

4.8 Feature Availability. We reserve the right to add, modify, or remove premium features at our discretion.

5.1 Privacy Policy. Your use of the Application is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

5.2 Data You Provide. You are responsible for the accuracy and legality of any Content or data you submit.

5.3 Data Security. We implement reasonable technical and organizational measures to protect your data. However, no method of electronic transmission or storage is completely secure.

5.4 Data Retention. We retain your data for as long as your account is active or as necessary to provide the Services. You may request deletion at any time through the Application or by contacting minndevstd@gmail.com.

5.5 Analytics & Crash Reporting. The Application may use third-party analytics and crash reporting tools to help us understand usage patterns and improve stability. See our Privacy Policy for details.

6.1 "As Is" Basis. THE APPLICATION AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOT-ARCH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 No Guarantee of Availability. Minn Studio does not warrant that the Application will be uninterrupted, error-free, secure, or free of viruses. We may suspend or modify the Application at any time without notice.

6.3 No Health or Professional Advice. The Application is a personal productivity and goal-tracking tool. Nothing within it constitutes professional advice of any kind.

6.4 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROOT-ARCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

IN ANY CASE, ROOT-ARCH'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $10.

Some jurisdictions do not allow certain limitations. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Minn Studio and its affiliates from and against any claims, liabilities, damages, losses, costs, or fees arising out of or relating to:

• (a)Your violation of these Terms;
• (b)Your use of the Application, including any Content you submit;
• (c)Your violation of any applicable law or regulation; or
• (d)Your infringement or misappropriation of any third-party rights.

Minn Studio reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you.

8.1 Informal Resolution. Before filing any formal proceeding, contact us at minndevstd@gmail.com with a written description of the dispute. We will work in good faith to resolve it within 30 days.

8.2 Governing Law. These Terms shall be governed by the laws of the jurisdiction in which Minn Studio operates, without regard to conflict of law provisions. Nothing limits your rights under mandatory consumer protection laws of your country of residence.

8.3 Binding Arbitration. To the extent permitted by applicable law, unresolved disputes shall be resolved by binding individual arbitration. You and Minn Studio each waive the right to a jury trial and class action.

8.4 Exceptions. Either party may seek injunctive relief from a court to prevent infringement of IP rights.

8.5 Time Limitation. Any claim must be filed within one (1) year after it first arose.

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. The invalidity of any provision shall not affect the remaining provisions.

These Terms, together with the Privacy Policy and any other legal notices published by Minn Studio, constitute the entire agreement between you and Minn Studio regarding your use of the Application.

Any failure to enforce any right does not constitute a waiver. You may not assign your rights under these Terms. Minn Studio may freely assign its rights at any time.
