Terms of Service

By accessing or using any Minn Studio application ("Service"), you confirm that you are at least 13 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher), that you have read and understood these Terms of Service ("Terms"), and that you agree to be legally bound by them. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Service and uninstall any related applications from your devices.

Your continued use of the Service after any modifications to these Terms constitutes acceptance of the updated Terms. We will make reasonable efforts to notify you of material changes through the application or via email associated with your account.

To access the full functionality of our applications, you must create an account. Authentication is handled via Firebase Authentication, and we support the following sign-in methods:

• Email & Password: Register with an email address and a password you create and manage.
• Sign in with Google: Authenticate using your existing Google account via OAuth 2.0.
• Sign in with Apple: Authenticate using your Apple ID, with the option to hide your email address using Apple's private email relay.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at minndevstd@gmail.com if you suspect any unauthorized access to or use of your account.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

You may not create more than one account per person, transfer your account to another individual, or use another person's account without their explicit permission.

3.1 Subscription Plans

Certain features of our applications require a paid subscription. Subscription plans, pricing, and included features are described within the application and may be updated from time to time. We may offer monthly, annual, or other billing cycles as well as promotional or introductory pricing.

3.2 Payment Processing

Subscription management and payment processing are handled through RevenueCat in conjunction with the relevant app store platform — Apple App Store (via StoreKit) or Google Play Billing. All purchases are subject to the terms and conditions of the applicable app store. Minn Studio does not directly store or process your payment card information.

3.3 Auto-Renewal

Unless you cancel before the end of the current billing period, your subscription will automatically renew at the then-current price for an equivalent billing cycle. You authorize the applicable app store to charge the payment method on file at the time of each renewal. You will be notified of any price changes prior to the renewal in accordance with app store policies.

3.4 Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. Minn Studio does not offer refunds for partial billing periods except where required by applicable law or app store policy.

3.5 Free Trials

We may offer free trials for subscription plans. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends. Only one free trial per person per product is permitted.

3.6 Price Changes

We reserve the right to modify subscription pricing. We will provide reasonable advance notice of any price increase. Your continued use of the Service following a price change constitutes your acceptance of the new pricing.

4.1 Your Content

"User Content" refers to any data or information you create, enter, or upload within our applications, including but not limited to: goals, habit definitions, progress entries, notes, completion logs, and any other tracking data you generate through your use of Motavi or other Minn Studio applications.

You retain full ownership of your User Content. By using the Service, you grant Minn Studio a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely for the purpose of providing and improving the Service to you.

4.2 Data Storage

User Content is stored using Firebase services provided by Google. Data is stored in secure cloud infrastructure and is subject to our Privacy Policy, which governs how we collect, store, and handle your personal information.

4.3 Data Accuracy

Minn Studio makes no representations or warranties regarding the accuracy, completeness, or reliability of any User Content. You are solely responsible for the accuracy of the data you enter into our applications, and you agree not to rely on the Service as your sole record for any critical personal, medical, or financial information.

4.4 Data Export & Deletion

You may request an export of your User Content or the deletion of your account and associated data by contacting us at minndevstd@gmail.com. We will process such requests in accordance with applicable data protection laws and our Privacy Policy. Note that some residual data may be retained in backups for a limited period following deletion requests.

4.5 No Warranty on Data Retention

We recommend that you regularly export or back up your User Content. While we take reasonable precautions to prevent data loss, Minn Studio is not liable for any loss or corruption of User Content arising from technical failures, user error, or account termination.

The Service and all content, features, and functionality contained within it — including but not limited to software, source code, user interfaces, visual design, graphics, logos, icons, text, and compilations thereof ("Minn Studio Materials") — are the exclusive property of Minn Studio or its licensors and are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

Subject to your compliance with these Terms, Minn Studio grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the application on devices you own or control, solely for your personal, non-commercial purposes.

You may not: (a) copy, modify, distribute, sell, or lease any part of Minn Studio Materials; (b) reverse engineer or attempt to extract source code from any part of the Service, unless laws prohibit this restriction; (c) use any Minn Studio trademark, logo, or trade name without prior written permission; or (d) create derivative works based on Minn Studio Materials.

Any feedback, suggestions, or ideas you provide to Minn Studio regarding the Service ("Feedback") may be used by Minn Studio without restriction or compensation to you. You assign to Minn Studio all rights, title, and interest in any Feedback you provide.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material.
• To impersonate or attempt to impersonate Minn Studio, a Minn Studio employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Minn Studio or users of the Service.
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, servers on which the Service is stored, or any server, computer, or database connected to the Service.
• To use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
• To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• To attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or in any way making up part of the Service.
• To use the Service for any commercial purpose or for any public display without our prior written consent.
• To circumvent, disable, or otherwise interfere with security-related features of the Service, including features that enforce limitations on use.

Violation of these prohibited use provisions may result in immediate termination of your access to the Service and, where appropriate, referral to law enforcement authorities.

You may stop using the Service at any time by deleting your account within the application or by contacting us at minndevstd@gmail.com. Deleting your account cancels future subscription renewals from the next billing cycle, but does not entitle you to a refund of any fees already charged.

Minn Studio reserves the right, in its sole discretion, to suspend or permanently terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to: a violation of these Terms; conduct that we believe is harmful to other users, third parties, or the interests of Minn Studio; or if we discontinue the Service.

Upon termination of your account for any reason: (a) your license to use the Service immediately ceases; (b) we may delete your User Content from our active databases, subject to our data retention obligations under applicable law; and (c) any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROOT-ARCH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Minn Studio does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results obtained from using the Service will meet your requirements or expectations.

The Service is designed to support personal goal-tracking and habit formation. It is not a substitute for professional medical, psychological, financial, or other expert advice. Any goals, habits, or wellness practices you undertake based on use of the Service are undertaken at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROOT-ARCH, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT WILL ROOT-ARCH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ROOT-ARCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Minn Studio's liability will be limited to the fullest extent permitted by applicable law.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Any legal action or proceeding relating to these Terms or your use of the Service shall be instituted exclusively in the courts of Japan, and you consent to personal jurisdiction and venue in such courts. Notwithstanding the foregoing, Minn Studio retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Minn Studio's intellectual property rights.

If you are a consumer residing in the European Union, you may also benefit from any mandatory provisions of the law of the country in which you are resident, and nothing in these Terms affects your rights as a consumer under applicable local law.

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we publish them, and apply to all access to and use of the Service thereafter.

For material changes, we will provide at least 30 days' notice via an in-app notification or by sending an email to the address registered with your account. "Material changes" include alterations that significantly affect your rights or obligations, such as changes to subscription terms, data handling practices, or dispute resolution procedures.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.
